Agreement to these terms
These Terms of Service ("Terms") are an agreement between you and Minor Gods LLC ("Minor Gods", "we", "us" or "our") governing your use of Earshot, including the Earshot apps for desktop and mobile, Earshot Cloud, our hosted services and the earshot.run website (together, the "Service").
By accessing or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service. If you use the Service on behalf of an organization, you confirm that you have authority to bind it to these Terms.
Eligibility
You must be at least 18 years old and able to form a binding contract to use the Service. You may not use the Service if you are barred from doing so under applicable law, including export control and sanctions laws.
Your account
You are responsible for your account, for keeping your credentials and API tokens secure, and for all activity that occurs under your account, including through any computer, device or token you connect. Notify us promptly at hello@earshot.run if you believe your account has been compromised.
Your use of agents
Earshot lets you run, monitor and respond to AI coding agents and automations that you choose and configure. You are solely responsible for the instructions you give, the permissions you grant, and any actions those agents take, including changes to your code, systems, data or connected services. AI output can be inaccurate or harmful; review it before relying on it, and keep your own backups.
Notification delivery depends on third parties and conditions outside our control. Do not rely on the Service for safety-critical or time-critical purposes.
Acceptable use
You agree not to:
- Use the Service in violation of any law or the rights of others.
- Interfere with, disrupt, overload or attempt to gain unauthorized access to the Service or its systems, or circumvent any usage limits or security measures.
- Reverse engineer or attempt to extract the source code of the Service, except where permitted by law.
- Resell, sublicense or provide the Service to third parties without our permission.
- Use the Service, including Earshot Cloud, to distribute malware or spam, mine cryptocurrency, attack or scan other systems, or host unlawful content.
Third-party services
The Service works with third-party products, such as AI model providers, GitHub and Slack. Your use of those products is governed by their own terms. When your agents use your own account or key with a provider, including OpenRouter, you are responsible for any fees that provider charges. When they use Earshot's OpenRouter key, we charge that usage to your Earshot credits as described in Subscriptions and payment, and the content it sends is subject to OpenRouter's and the model provider's acceptable use policies. We are not responsible for third-party products or their availability.
Subscriptions and payment
Some features require a paid subscription or the purchase of credits. Prices are shown at the time of purchase. Payments are processed by our payment provider, and you authorize us to charge your payment method for the fees you incur, plus any applicable taxes.
Agents using Earshot's OpenRouter key are charged to your credits at OpenRouter's price for each request plus 20%. Before a request starts we hold an estimate of its cost against your balance; when it ends we charge the cost OpenRouter reports, which may be more or less than the estimate. We may refuse requests your balance cannot cover.
Subscriptions renew automatically until cancelled. You can cancel at any time, and cancellation takes effect at the end of the current billing period. We may change our prices with advance notice.
Earshot Pro bought through our website or the Earshot desktop app may start with a free trial, offered once per account. We collect your payment method when the trial starts and charge it when the trial ends unless you cancel before then. Cancelling during the trial ends Pro at the end of the trial with no charge.
If Earshot Pro is not worth it to you, email hello@earshot.run within 30 days of your first Pro payment made through our website or the Earshot desktop app, and we will refund that payment in full. This refund is available once per person. Refunding it ends Pro immediately and removes the credits that payment included. Except as described here or where required by law, fees are non-refundable and credits have no cash value.
Changes to the Service
The Service is under active development. We may add, change or remove features, and some features may be offered as previews that are provided as is and may be discontinued. We may also set or change usage limits.
Intellectual property
The Service, including its software, design and trademarks, is owned by Minor Gods LLC and its licensors. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service. Open-source components are governed by their own licenses.
Your content
You retain all rights to the code, prompts, messages and other content you use with the Service ("Your Content"). You grant us a limited license to host, transmit and process Your Content solely to provide the Service to you. We do not use Your Content to train AI models. You confirm that you have the rights necessary to use Your Content with the Service.
When you or one of your agents publishes a page, its files are public to anyone with its earshot.page link, unless you set a password, until you take it down or nobody opens it for 90 days. You are responsible for what your pages contain, and we may take down a page that breaks these Terms.
If you send us feedback or suggestions, we may use them without any obligation to you.
Suspension and termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms, fail to pay amounts owed, or if necessary to protect the Service or other users, or to comply with law. Upon termination, your right to use the Service ends, and we may delete your data as described in our Privacy Policy. Sections that by their nature should survive termination will survive.
Disclaimer of warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE, THAT NOTIFICATIONS WILL BE DELIVERED, OR THAT ANY OUTPUT WILL BE ACCURATE.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MINOR GODS LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, CODE OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR US$100.
Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.
Indemnification
You agree to indemnify and hold harmless Minor Gods LLC from any claims, losses and expenses, including reasonable legal fees, arising from your use of the Service, the actions of agents you run, Your Content, or your violation of these Terms or applicable law.
Governing law
These Terms are governed by the laws of the State of Wyoming, without regard to its conflict of law rules. Any dispute will be resolved exclusively in the state or federal courts located in Sheridan County, Wyoming. This does not affect any mandatory consumer protections under the laws of the country where you live.
Changes to these terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or in the app before they take effect. By continuing to use the Service after changes take effect, you agree to the updated Terms.
General
These Terms and our Privacy Policy are the entire agreement between you and us regarding the Service. If any provision is found unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets.
